Kelly was the original owner and sold it to Denise giving up all rights to the business.

Here is a post on the Southern Soapers yahoo group from yesterday:

ADMIN: Beware of buying from pending pre-buy

This is just a warning to those of you loyal customers of Southern Soapers and

friends of Denise.

Beware: There was a pre-buy announced this morning by the previous owner of

Southern Soapers advertising several fragrance oils under the TRADEMARKED name

of Southern Soapers that rightfully belong to Denise and her widower.

This is an illegal buy, and anyone involved in said buy could be subject to

legal ramifications.

Hi All,

Kelly Bloom completely sold Southern Soapers in whole to Denise Mercelli. She

sold the name and ALL the fragrance oils and supplies associated with the

Southern Soapers and the name Southern Soapers. Kelly Bloom got al her monies

and gave up all rights to anything having to do with the business.

Then Denise passed away just before Thanksgiving. Now Kelly is advertising that

she is doing a pre-buy on FOs she has no right to under the Southern Soapers

name which she also has no right to use as it is a part of Denise's estate.

First this woman steals the Southern Soapers list from the original owner and

now she's taking advantage of a dead woman and her widower. A person can't stoop

any lower. Shame on you Kelly Bloom.

From what I have read today there was a huge loop hole in the contract. I guess Iwill have to wait and let the legal system hash it out before I can make judgement on this. It seems the manufacturer still has both names on the codes to the FO's which should have been changed upon the sale of them. I am not saying what is being done is right just saying let the lawyers hash it out and see what is fair and then I shall decide if I will be buying.

Contrary to many third parties that do not have actual factual information about the business contract that Denise & I had, I did NOT sell my company to Denise. I sold her ONLY the Southern Soapers trademark so that she could rebrand her Full Moon Herbs products under the Southern Soapers brand. She LICENCED my fragrance codes. She did NOT buy them. My LLC has always retained ownership of that information. Denise paid a licensing fee to be the ONLY other supplier other than myself to order and distribute these fragrances. I did not have a non compete in the contract. Our contract also only gave Denise usage of the copyrighted materials I developed on the Southern Soapers forums and domains.

Yes glad you did clear this up since so many assumed they knew what was in your contract! Seems a few people here need to make some apologies!

Yep. Nothing like taking a rumor and shaking the shit out of it!

I see Kelly's site has Grapefruit Cassis. That is the best, most awesome, most delicious grapefruit I ever used. But...but...but...where's my all time favorite: Guns & Roses?

I saw Kelly's post on another thread and am glad she clarified this. I had no idea and wrongly assumed others were right and she no longer owned the rights to the oils. It is sad that this got out of hand and I am ashamed I assumed what others posted was true. For that I will definitely apologize to Kelly if I have offended her in any way.
